These Terms of Service ("Terms") govern your use of Fundable ("Service"), operated by Fundable ("we", "us", or "our"). By accessing or purchasing our Service, you agree to be bound by these Terms.

1. Service Description

Fundable is an AI-powered outreach automation platform for early-stage startups. Our Service includes:

• Traction campaigns — Automated outreach to potential customers, beta users, and press on your behalf
• Fundraising campaigns — Automated outreach to angels, seed funds, and venture capital investors on your behalf
• Combined campaigns — Both traction and fundraising outreach running in parallel

We manage campaign strategy, prospect research, message drafting, and outreach execution. All campaigns are run by our platform in your startup's name using contact information and materials you provide.

2. No Guaranteed Outcomes

We make no guarantees, representations, or warranties regarding specific outcomes, including but not limited to:

• Number of replies, meetings, or demo requests booked
• Investment term sheets, commitments, or funding secured
• Specific response rates, open rates, or engagement metrics
• Investor introductions or partnership agreements

Outreach effectiveness depends on many factors outside our control, including market conditions, your product, your team, and the quality of materials you provide. We optimize campaigns aggressively, but results are never guaranteed.

3. Subscription Terms

Fundable operates on a monthly subscription model:

• Subscriptions are billed monthly in advance on your billing date
• You may cancel at any time from your dashboard — cancellation takes effect at the end of your current billing period
• We reserve the right to modify pricing with 30 days' notice to existing subscribers
• Failure to pay may result in suspension or termination of your account

4. Your Responsibilities

By using Fundable, you agree to:

• Provide accurate information about your company, product, and target audience
• Ensure you have the right to use any materials you upload (pitch decks, logos, copy)
• Comply with all applicable laws including CAN-SPAM, GDPR, and CASL where applicable
• Not use the Service for illegal, deceptive, or harmful outreach
• Not use the Service to send spam or outreach that misrepresents your company

You are responsible for the accuracy of the company information you provide and for reviewing outreach materials before campaigns launch.

5. Data and Materials

You retain ownership of all materials you upload to Fundable (pitch decks, company descriptions, brand assets). By uploading materials, you grant us a limited license to use them solely for the purpose of running your campaigns.

We will never share your confidential materials with third parties except as required to operate the Service (e.g., outreach providers) or as required by law.

6. Acceptable Use

You may not use Fundable to:

• Send misleading, fraudulent, or impersonating outreach
• Target minors or protected groups in violation of applicable law
• Violate any third-party terms of service or platform rules
• Circumvent opt-out requests from outreach recipients

We reserve the right to suspend accounts that violate these terms without refund.

7. Intellectual Property

The Fundable platform, including all software, designs, and systems, is our proprietary intellectual property. You may not copy, reverse-engineer, or redistribute any part of our platform.

8. Limitation of Liability

To the maximum extent permitted by law, Fundable's total liability for any claims arising from your use of the Service shall not exceed the amount you paid in the 3 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or missed investment opportunities, even if we were advised of the possibility of such damages.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be error-free, uninterrupted, or that outreach campaigns will achieve any particular result.

10. Termination

Either party may terminate the relationship at any time. You may cancel via your dashboard. We may terminate your account for violations of these Terms, non-payment, or any reason with reasonable notice. Upon termination, your access to the Service will end at the close of your current billing period.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
